The full legal terms below are what actually binds us both, but they say the same thing in more words.


1. Agreement to Terms

This End User Licence Agreement ("EULA") is a legal agreement between you ("Licensee", "you", "your") and Perfect Paradox Ltd for the use of Notebound (bundle identifier com.perfectparadox.notebound), including the application, documentation, licence keys, and updates we provide (collectively, the "Software").

By installing, copying, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software — and if you purchased a licence within the last 14 days, you can request a refund (see our Terms of Sale).

This EULA should be read alongside our Terms of Sale and Privacy Policy, available at https://perfectparadox.co.uk.


2. Licence Grant

2.1 What You Get

Subject to this EULA and payment of the one-time licence fee ($9.99 USD), we grant you a perpetual, non-exclusive, non-transferable licence to:

(a) Install and use the Software on up to 2 Mac(s) that you own or control for your personal or internal business use; (b) Make backup copies of the Software for your own archival purposes; (c) Receive and install all minor and maintenance updates released for the major version you purchased (e.g., if you bought v2, all 2.x updates are included).

"Perpetual" means your licence to the purchased version does not expire. We will never remotely disable a paid licence for a version you bought.

2.2 Free Tier and Full Version

The Software is offered on a freemium basis. You may use the free tier indefinitely at no charge, with the free tier subject to usage limits. Purchasing a licence permanently unlocks the full version with no limits. Circumventing the free-tier limits or the licence-unlock mechanism to obtain paid features without payment is a breach of this EULA.

2.3 Major Upgrades

New major versions (e.g., v2 → v3) may be offered as paid upgrades, typically at a discount for existing licence holders. Major upgrades are always optional — your existing version keeps working under your existing licence whether or not you upgrade.

2.4 Seats and Transfers

A "seat" means one Mac on which the Software is activated. If you replace a Mac, you may deactivate the licence on the old machine and activate it on the new one — that does not consume an extra seat. If you need more than 2 seat(s), purchase additional licences or contact info@perfectparadox.co.uk for volume options.

You may not transfer or resell your licence to another person or entity without our prior written consent.


3. Licence Restrictions

You may not:

(a) Copy or distribute the Software or licence keys to third parties; (b) Rent, lease, lend, sell, sublicence, or resell the Software or your licence; (c) Reverse engineer, decompile, or disassemble the Software, except to the extent expressly permitted by the Copyright, Designs and Patents Act 1988 (sections 50A, 50B, and 50BA) or other applicable law that cannot be contractually excluded; (d) Modify, adapt, or create derivative works based on the Software; (e) Remove or alter any proprietary notices, labels, or marks in the Software; (f) Circumvent the free-tier limits, licence validation, or any technical protection measures; (g) Share licence keys publicly or use keys obtained from unauthorised sources; (h) Use the Software in any manner that violates applicable law.


4. Intellectual Property

4.1 Ownership

The Software is licensed, not sold. All rights, title, and interest in the Software — including all intellectual property rights — remain with Perfect Paradox Ltd. This EULA grants you a licence to use the Software; it does not grant you any ownership interest in it.

4.2 Your Content

Everything you create, open, or process with the Software is yours. We claim no rights over your files, documents, or output, and — because the Software runs entirely on your Mac — we never see them. See our Privacy Policy.

4.3 Third-Party Components

The Software may incorporate open-source components, each subject to its own licence. A list of third-party components is included with the Software (acknowledgements screen or bundled licence file). Nothing in this EULA limits your rights under those licences.


5. Privacy and Local Operation

The Software runs entirely locally on your Mac. It does not transmit your documents, content, or usage behaviour to us or anyone else. The only network connections the Software makes are: (1) licence validation against Paddle's licensing API at activation; (2) Sparkle update check against perfectparadox.co.uk. Notebound is otherwise fully offline and transmits no user data.

6. System Requirements

The Software requires macOS 14 (Sonoma) or later. We do not warrant compatibility with earlier macOS versions, beta operating systems, or unsupported hardware. System requirements for future updates may increase; your purchased version will continue to run on the macOS versions it supported at the time of release.


7. Updates and Support

7.1 Updates

We may release updates for the Software. Updates within your purchased major version are free and delivered via the in-app update mechanism or https://perfectparadox.co.uk. Updates are never installed without your action or consent.

7.2 Support

We provide reasonable email support at info@perfectparadox.co.uk. As a small independent company, we aim to respond within 2 business days. Support covers installation, activation, and bugs in the Software; it does not include general macOS support or custom development.

7.3 No Obligation to Maintain Forever

We intend to maintain the Software actively, but a one-time purchase does not entitle you to indefinite future development. If we ever discontinue the Software, your licence and your installed version keep working — and because the Software is fully local, discontinuation cannot take away functionality you already have.


8. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR OPERATE WITHOUT INTERRUPTION, OR THAT IT WILL BE COMPATIBLE WITH ALL HARDWARE OR SOFTWARE CONFIGURATIONS.

Back up your data. While the Software is designed to handle your files safely, no software is perfect, and you are responsible for maintaining backups of your important data.

If you are a consumer, this disclaimer does not affect your statutory rights (including under the Consumer Rights Act 2015, which entitles you to digital content of satisfactory quality).


9. Limitation of Liability

9.1 General Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PERFECT PARADOX LTD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS EULA OR YOUR USE OF THE SOFTWARE, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

9.2 Aggregate Cap

OUR TOTAL AGGREGATE LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENCE TO THE SOFTWARE.

9.3 Exclusions

Nothing in this EULA excludes or limits liability for:

(a) Death or personal injury caused by negligence; (b) Fraud or fraudulent misrepresentation; (c) Any other liability that cannot be excluded or limited under the laws of Northern Ireland or the United Kingdom, including your statutory rights as a consumer.


10. Termination

10.1 By You

You may terminate this EULA at any time by uninstalling the Software and destroying all copies.

10.2 By Us

We may terminate this EULA if you materially breach it (for example, by distributing licence keys or cracked copies) and fail to cure the breach within fourteen (14) days of written notice. Termination for breach does not entitle you to a refund.

10.3 Effect of Termination

Upon termination, your licence ends and you must uninstall the Software. Your files and data remain on your Mac — we have no access to them and no ability to affect them. Sections 4 (IP), 8 (Warranty), 9 (Liability), and 11 (Governing Law) survive termination.


11. Governing Law and Jurisdiction

This EULA is governed by and construed in accordance with the laws of Northern Ireland and, where applicable, the laws of the United Kingdom. The courts of Northern Ireland have exclusive jurisdiction over disputes arising from this EULA — except that if you are a consumer, you retain any rights you have to bring proceedings in your country of residence, and nothing here affects your mandatory statutory consumer rights.


12. General

(a) Entire Agreement. This EULA, together with our Terms of Sale and Privacy Policy, is the entire agreement between you and Perfect Paradox Ltd regarding the Software. (b) Severability. If any provision is held invalid, the remainder continues in full force. (c) No Waiver. Failure to enforce any provision is not a waiver of it. (d) Export Compliance. You agree to comply with applicable export control laws.
